Cru Social Inc – Terms and Conditions of Use

Welcome to Cru Social ("Cru," "we," "our," or "us"), a platform created for aviation professionals and enthusiasts to connect, share, and collaborate. By accessing or using the Cru platform, mobile application, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms").
If you do not agree to these Terms, you may not access or use the Services.
1. Eligibility
You must be at least 13 years old to use Cru. By using the Services, you affirm that you are of legal age to enter into this agreement and comply with these Terms. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2. Account Registration
You agree to provide accurate and current information when creating your account. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Cru is not liable for unauthorized access to your account resulting from your failure to protect your credentials.
You may not create an account using false information or impersonate another person, including falsely representing aviation credentials, certifications, ratings, or professional qualifications.
3. User Conduct
You agree not to:
- Violate any applicable law or regulation;
- Post content that is defamatory, obscene, harassing, discriminatory, threatening, or otherwise harmful;
- Upload viruses, malware, or engage in any activity that disrupts or damages the Services;
- Use the platform to solicit unauthorized commercial activity or spam;
- Misrepresent your identity, qualifications, certifications, ratings, or affiliations, including but not limited to pilot licenses, medical certificates, or employment history;
- Impersonate aviation professionals or falsely claim credentials you do not possess;
- Scrape, harvest, or collect user data without authorization;
- Attempt to gain unauthorized access to any portion of the Services or other users'accounts;
- Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services.
Cru reserves the right to remove content, suspend, or terminate accounts that violate these standards at our sole discretion, with or without notice.
4. Content Ownership and License
Your Content
You retain ownership of the content you post on Cru, including photos, videos, text, logbook entries, and other materials ("User Content"). By posting User Content on Cru, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Services and Cru's business operations, including for purposes of promoting and redistributing part or all of the Services in any media formats and through any media channels.
This license continues even if you stop using the Services, but you may terminate this license for specific content by deleting such content from the Services. However, content that has been shared with others may continue to appear if they have not deleted it.
Platform Content
All intellectual property on the platform, including but not limited to logos, trademarks, service marks, trade names, design, user interface, proprietary code, algorithms, and features, is owned by or licensed to Cru Social Inc. You may not use, copy, reproduce, modify, or create derivative works of such content without our express written permission.
5. Aviation and Logbook Disclaimers
Cru is not a certifying authority, regulatory body, employer, or official recordkeeper for aviation purposes. Any aviation-related posts, endorsements, qualifications, flight times, logbook entries, or professional information shared on the platform are user-generated and not verified, certified, or endorsed by Cru Social Inc.
Important Aviation-Specific Disclaimers:
- Logbook Data: Cru's logbook functionality is designed to help pilots maintain FAA-compliant records under 14 CFR §61.51. However, Cru does not certify, validate, or guarantee the accuracy of any flight time, experience, or logbook data entered by users. Users remain solely responsible for ensuring their logbook entries are accurate, complete, and meet all applicable regulatory requirements. We recommend maintaining backup copies of your flight records.
- No Regulatory Compliance: The Services do not substitute for pilot certificates, medical certificates, or any other regulatory documentation. Users must independently verify all aviation credentials and maintain compliance with all applicable regulations.
- Professional Information: Information about employment, training, certifications, ratings, and qualifications posted by users is self-reported and unverified. Users must exercise independent judgment and conduct their own due diligence before relying on any aviation-related information shared via the platform.
- Safety Disclaimer: Cru does not provide aviation safety advice, flight planning services, weather briefings, or operational guidance. Users should rely only on official FAA sources, certified flight instructors, and approved aviation resources for safety-critical information.
6. Third-Party Services and Integrations
The Services may integrate with or contain links to third-party services, websites, or applications. Cru is not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
7. Privacy
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
8. Intellectual Property Reporting
If you believe that content on the Services infringes your copyright or other intellectual property rights, please contact us at legal@crus.co with the following information:
- A description of the copyrighted work or intellectual property you claim has been infringed;
- A description of where the allegedly infringing material is located on the Services;
- Your contact information;
- A statement that you have a good faith belief that the use is not authorized;
- A statement, under penalty of perjury, that the information you provided is accurate and that you are the copyright owner or authorized to act on behalf of the owner;
- Your physical or electronic signature.
We will respond to valid notices in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws.
9. Beta Features and Service Changes
Cru is continuously evolving. We may introduce new features, modify existing features, or discontinue features at any time without prior notice. Some features may be designated as "beta" or experimental, and we make no guarantees regarding the performance, availability, or future availability of such features.
10. Termination
By You
You may terminate your account at any time by contacting us at support@crus.co. Upon termination, your profile and User Content may be removed from public view, but certain data may be retained as required by law or for legitimate business purposes.
By Cru
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, is harmful to Cru, or for any other reason at our sole discretion.
Effect of Termination
Upon termination, your right to use the Services will immediately cease. Content licenses you granted under Section 4 will survive termination to the extent content has been shared or distributed. Sections covering disclaimers, limitations of liability, indemnification, and dispute resolution will survive termination.
11. Export Compliance
You agree to comply with all applicable export and import control laws and regulations in your use of the Services. You may not use the Services if you are located in a country embargoed by the United States or are on any U.S. government list of prohibited or restricted parties.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CRU SOCIAL INC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- The Services will be uninterrupted, secure, or error-free;
- Any errors or defects will be corrected;
- The Services will be free from viruses or other harmful components;
- The results obtained from use of the Services will be accurate or reliable;
- Any User Content, including logbook data or aviation credentials, will be accurate, complete, or reliable.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRU SOCIAL INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR ANY OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CRU SOCIAL INC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO CRU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
AVIATION-SPECIFIC LIABILITY DISCLAIMER: CRU SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON USER-GENERATED AVIATION CONTENT, LOGBOOK DATA, PROFESSIONAL CREDENTIALS, EMPLOYMENT INFORMATION, OR ANY OTHER INFORMATION SHARED THROUGH THE SERVICES.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Cru Social Inc and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys'fees) arising out of or relating to:
- Your use of the Services;
- Your User Content;
- Your violation of these Terms;
- Your violation of any rights of another person or entity;
- Your violation of any applicable laws or regulations;
- Any misrepresentation of your aviation credentials, qualifications, or professional status.
15. Dispute Resolution and Arbitration
Informal Resolution
Before filing a formal claim, you agree to first contact us at legal@crus.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, you or Cru may bring a formal proceeding.
Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Utah County, Utah, unless otherwise agreed.
YOU AND CRU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions to Arbitration
Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Services or infringement of intellectual property rights without first engaging in the informal dispute resolution or arbitration process described above.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any arbitration or court proceeding shall be conducted in Utah County, Utah.
16. Changes to Terms
We may update these Terms from time to time at our sole discretion. We will notify users of material changes by posting a notice on the Services or by sending an email to the address associated with your account. The updated Terms will be effective as of the date posted, and your continued use of the Services after such date constitutes acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you do not agree to the modified Terms, you must stop using the Services.
17. Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cru Social Inc regarding the Services and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be reformed to the maximum extent possible to reflect the intent of the parties.
Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Cru's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.
Headings
The headings in these Terms are for convenience only and have no legal or contractual effect.
